These Terms & Conditions (“Terms”) govern your access to and use of services provided by Design Ekatrit (“we”, “us”, “our”). By accessing our website or engaging our services, you agree to be legally bound by these Terms.
1. Services
Design Ekatrit offers:
- Branding & Strategy
- Visual Identity & Packaging
- Photography & Film Production
- Website Design & Shopify Development
- Social Media Management & Digital Strategy
- Creative Consultation & Retainer Services
All services are governed strictly by the scope, deliverables, timelines, and commercials outlined in the approved proposal or Statement of Work (SOW). Any services not explicitly mentioned will be treated as out-of-scope.
2. Project Engagement
A project is deemed active only when:
- Scope, deliverables, timelines, and commercials are mutually approved in writing
- Advance payment (as per agreement) is received
- All required client inputs, assets, and approvals are provided
Delays in client inputs, feedback, or approvals will automatically extend timelines, and Design Ekatrit shall not be liable for resulting delays.
3. Payments
- All invoices must be paid as per agreed payment terms
- Work will be paused immediately in case of delayed payments
- Advance payments are strictly non-refundable
- Any additional work beyond the agreed scope will be billed separately
- Design Ekatrit reserves the right to withhold final deliverables until full payment is received
- Applicable taxes will be charged as per Indian law
4. Revisions
- Standard deliverables include up to 2 rounds of revisions, unless otherwise specified
- Revisions must fall within the approved scope
- Additional revisions or changes in direction will be charged separately
5. Intellectual Property
Before Full Payment:
- All concepts, designs, drafts, footage, and working files remain the exclusive property of Design Ekatrit
After Full Payment:
- Ownership of final approved deliverables only is transferred to the client
- Raw/source files (AI, PSD, RAW, C4D, project files, etc.) are not included and must be purchased separately
- Design Ekatrit retains the right to use, display, and publish the work for portfolio, marketing, and promotional purposes
6. Client Responsibilities
The client agrees to:
- Provide accurate, complete, and timely information, assets, and approvals
- Ensure all materials shared (logos, content, music, etc.) do not infringe third-party rights
- Obtain all necessary licenses, permissions, and product compliance certifications
Design Ekatrit shall not be held liable for any legal claims arising from client-provided materials or representations.
7. Timelines & Delivery
- Timelines begin only after receipt of all required inputs and payments
- Client delays will proportionately shift delivery timelines
- Urgent or expedited projects may incur rush fees
- Final delivery timelines are estimates, not guarantees, unless contractually committed
8. Website & Digital Services
For Shopify, websites, and digital marketing services:
- Design Ekatrit is not liable for hosting failures, server downtime, domain issues, or third-party platform errors
- We are not responsible for policy violations, ad rejections, account suspensions, or penalties imposed by platforms such as Meta, Google, Shopify, etc.
- We do not guarantee specific performance metrics including sales, ROAS, traffic, conversions, or revenue unless explicitly agreed in writing
9. Third-Party Services & Vendors
- Any third-party vendors (production crews, printers, developers, platforms, etc.) are independent entities
- Design Ekatrit is not liable for their delays, errors, or failures
- Any third-party costs are non-refundable once incurred
10. Limitation of Liability
Design Ekatrit shall not be liable for:
- Losses arising from inaccurate or incomplete client information
- Third-party failures or external platform issues
- Market performance, business outcomes, or indirect damages
- Any consequential, incidental, or special damages
Total liability, under any circumstance, shall not exceed the total amount paid by the client for the specific project.
11. Indemnity
The client agrees to indemnify and hold harmless Design Ekatrit against any claims, damages, losses, or legal actions arising from:
- Client-provided content or materials
- Misuse of deliverables
- Violation of laws, regulations, or third-party rights
12. Termination
Design Ekatrit reserves the right to terminate services immediately if:
- Payments are overdue
- There is a breach of these Terms
- The client engages in misconduct, unlawful, or unethical activity
Upon termination:
- All work will cease immediately
- Payments made are non-refundable
- Any completed work up to the termination date may be invoiced and charged
13. Confidentiality
Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the course of the project, unless disclosure is required by law.
14. Force Majeure
Design Ekatrit shall not be held liable for delays or failure in performance due to events beyond reasonable control, including but not limited to natural disasters, government restrictions, pandemics, strikes, or technical failures.
15. Use of Website
You agree:
- Not to misuse, hack, or disrupt the website
- Not to copy, reproduce, or distribute content without written consent
- Not to engage in unlawful or harmful activities
Violation may result in legal action.
16. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India.
All disputes shall be subject to the exclusive jurisdiction of courts in New Delhi.
